You also understand that you are contracted to both Acting Out Drama School (AODS) and the Professional Performance Association (PPA).

MEDIA PROFESSIONALS TERMS & CONDITIONS

This contract is between Acting Out Drama School (AODS) and the External Professional Media Company or Individual (Photographer/Videographer/Author/Writer) (hereinafter referred to as "Contractor"). This contract outlines the terms and conditions for services rendered, covering filming, photography, writing, and/or media content production for AODS & PPA events, classes, or projects.
1. Scope of Services
The Contractor agrees to provide media services such as photography, videography, and/or written content (e.g., articles, blogs, scripts, promotional text) for designated events, productions, or projects as outlined in individual bookings and communication from AODS and PPA.
The specific details, dates, times, and locations will be mutually agreed upon in writing ahead of each project and may vary based on AODS scheduling.
2. Compensation
The Contractor’s fee for services will be confirmed in writing prior to each project. Payment terms will depend on the specific arrangement with AODS & PPA and may vary per project.
Payment Options:
Direct Payment by AODS or PPA: AODS & PPA may compensate the Contractor directly for services rendered, with payment issued upon completion and receipt of an invoice.
Volunteer Services: The Contractor may agree to provide services on a voluntary basis without monetary compensation. This arrangement must be agreed upon in writing before the start of each project.
Direct Sales to Students: With prior approval from AODS & PPA, the Contractor may offer photos, footage, written content, or media packages directly to students or their families. Any prices for these services must be agreed upon in advance by AODS & PPA. The Contractor will be responsible for setting up and handling all transactions directly with students or their families, independent of AODS & PPA.
3. Ownership, Rights, and Use of Content
All film, footage, photography, written work, and media content (collectively “Content”) created by the Contractor for AODS & PPA shall remain the property of AODS & PPA unless otherwise agreed in writing.
Photographic and video content becomes the exclusive property of AODS & PPA upon creation.
Written content (such as scripts, articles, or other authored materials) remains the copyright of the Contractor only if:
Prior written permission to retain copyright has been granted by AODS & PPA, and
The content was created independently without collaboration from AODS students, coaches, or directors.
If the written content is the result of devising or joint creative collaboration with AODS students, coaches, or directors (e.g., through workshops, rehearsals, or shared development), full copyright and ownership will belong to AODS.
If the Contractor wishes to engage AODS students, coaches, or directors in any external or future creative projects outside of AODS, they must first obtain written permission from the Director of AODS.
The Contractor shall not use, publish, or share any Content externally, including for personal portfolios, websites, or social media, without prior written consent. AODS & PPA retains the right to use all Content for promotional, educational, and archival purposes across all platforms, including digital and print.
4. Social Media and Online Content
If authorised by AODS & PPA in writing, the Contractor may post approved Content on personal or professional platforms. The Contractor agrees to tag and credit AODS & PPA appropriately, ensuring both organisations are represented in a positive and professional light.
The Contractor will not post any unauthorised or inappropriate Content that could harm the reputation or privacy of AODS & PPA, its staff, students, or associates.
5. Insurance and PVG Requirements
The Contractor must hold and maintain adequate Public Liability Insurance throughout the duration of the contract and provide AODS & PPA with proof of this coverage.
The Contractor must possess a current Protection of Vulnerable Groups (PVG) certificate or disclosure for working with minors and vulnerable individuals. Proof of a valid PVG must be submitted to AODS & PPA before the start of any project involving minors.
6. Confidentiality and Data Protection
The Contractor agrees to handle all AODS & PPA Content, data, and personal information securely and in accordance with the General Data Protection Regulation (GDPR).
The Contractor will keep confidential all materials, information, and data related to AODS & PPA, its staff, and its students, and agrees not to disclose or use such information outside the context of the assigned project.
7. Safety and Compliance
The Contractor will comply with all AODS & PPA policies regarding safety, conduct, and child protection, including any additional guidelines provided during specific events or projects.
AODS & PPA reserves the right to review and adjust safety policies as required, and the Contractor agrees to comply with any updated requirements communicated by AODS & PPA.
8. Independent Contractor Relationship
The Contractor is engaged by AODS & PPA as an independent, freelance professional. This agreement does not create an employment relationship, and the Contractor is responsible for their own taxes, National Insurance, and any other legal responsibilities.
AODS & PPA is not liable for any injury, loss, or damage sustained by the Contractor during their work.
9. Force Majeure
The performance of services under this agreement is subject to alteration or cancellation by either party due to unforeseen events or causes beyond their control (e.g., Force Majeure or “Act of God”).
10. Modification and Severability
From time to time, this contract may be updated. The date of the latest update will be recorded and published on the webpage.
The Contractor is responsible for checking updates prior to any engagement.
11. Governing Law
This contract shall be governed by and interpreted in accordance with the laws of Scotland.
12. Signatures
By signing below, you agree to the terms and conditions outlined in this contract. You understand that your E-signature is legally binding.
